1. Introduction

Welcome to Designs Encoded Private Limited ("Designs Encoded," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website and the design, development, and technical consultancy services (collectively, the "Services") we provide. By accessing our website or engaging our Services, you agree to be bound by these Terms.

2. Our Services

Designs Encoded offers a comprehensive suite of software services, including:

Design: UI/UX Design, Wireframing, and Prototyping.
Development: Custom Software Development, Web Application Development, and Mobile Application Development.
Technical Consultancy: Strategic guidance on technology stacks, software architecture, and project feasibility.

3. Client Responsibilities

To ensure a successful collaboration, you, the client, agree to:

Provide clear, accurate, and complete information and requirements for your project.
Offer timely feedback and approvals to keep the project on schedule.
Provide access to necessary resources, such as hosting environments or third-party service credentials, as required for the project.

4. Intellectual Property Rights

Client-Owned IP: Upon full and final payment for the Services, all intellectual property rights to the final, delivered work product will be transferred to you.

Designs Encoded's Pre-existing IP: We retain ownership of all pre-existing templates, libraries, code, and other intellectual property we utilize to deliver the Services. You are granted a non-exclusive, perpetual, worldwide, royalty-free license to use such pre-existing IP as it is incorporated into the final work product.

5. Payment Terms

Project pricing and payment schedules will be detailed in a separate project proposal or statement of work.
Invoices are payable within 15 days of receipt unless otherwise agreed in writing.
Late payments may incur interest at a rate of 1.5% per month.

6. Limitation of Liability

To the maximum extent permitted by law, Designs Encoded shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising from your use of our Services or website. Our total liability for any claim arising out of or relating to these Terms or our Services is limited to the amount paid by you for the Services in the six (6) months preceding the claim.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed during the course of the project.

8. Termination

Either party may terminate a project for a material breach of these Terms by the other party, provided that the breaching party is given written notice and a 30-day opportunity to cure the breach.

9. Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Jabalpur, Madhya Pradesh, India.

10. Amendments

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website.
